Why an NDA Matters

An NDA safeguards your company’s sensitive data while giving interns the freedom to learn and contribute effectively. This reduces operational risk and strengthens your company’s professional framework for hosting interns.

An NDA ensures mutual clarity on:

  • What information may or may not be shared externally.
  • The intern’s responsibility to maintain confidentiality.
  • Your company’s expectations regarding information security during and after the internship.

Intellectual Property (IP) Ownership

Unless otherwise agreed in writing, any work, materials, or outputs created by an intern during the course of the internship and within the scope of their assigned projects will be owned by the host company.

By accepting an internship offer, interns acknowledge and agree to this intellectual property arrangement.

When to Present an NDA

If you require an NDA, it must be shared during the interview stage, before an intern formally accepts the offer.

  • Interns can review and make informed decisions.
  • No disruption or delay in onboarding once the offer is confirmed.

What Makes a Good NDA for Internships

Effective NDAs for internships are clear, proportionate, and aligned with learning-based experiences. Best practice NDAs:

  • Are tailored to the intern’s role and level of access

  • Clearly define confidential information without being overly broad

  • Limit IP ownership to work created during the internship and within project scope

  • Allow interns to reference their experience in a high-level, non-confidential way (e.g. on CVs or LinkedIn)

  • Avoid unnecessary restrictions that could limit future learning or employment

Intern’s Right to Review

Signing an NDA is entirely at the intern’s discretion. Interns are encouraged to carefully review the document and only sign if they are comfortable with its terms.
